The panels themselves are made of a high density polyurethane which is a waterproof material but the installation of the panels will not necessarily be waterproof due to the joints between the panels. If the seams are glued and caulked properly, there shouldn't be much water getting through.
Also, I'm not fully aware of your installation plan but wanted to point out that these panels won't replace drywall as they will need a solid flat surface to install into. Unlike drywall, they cannot be installed directly to studs.
